Please read these terms and conditions of use carefully before using this website.  Your use of the Friends4Cash website, having a “home page” located at www.friends4cash.com (the “Website”), is expressly conditioned upon your acceptance of the following terms and conditions (collectively referred to herein as, the “Agreement”).  By using the Website, you signify your assent to these terms and conditions.  If you do not agree with any part of the following terms and conditions, you must not use the Website.

1. OWNERSHIP.  This Website, and each of its parts, is the property of Friends4Cash (and its parent company Of The Net Inc.), and/or its various third party subsidiaries, affiliates, advertisers, merchants, customers, providers and distributors.  None of the content or data found on this Website may be copied, reproduced, republished, uploaded, posted, distributed, sold, transferred, or modified without the express written permission of Friends4Cash and/or its third party parents, subsidiaries, affiliates, advertisers, merchants, customers, providers and/or distributors, as applicable.  In addition, the trademarks, logos and service marks displayed on this Website (collectively, the “Trademarks”) are registered or common law Trademarks of Friends4Cash or its parents, subsidiaries, affiliates, advertisers, merchants, customers, providers or distributors, or other third parties.  Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Trademarks without the written permission of Friends4Cash or such other party that may own the Trademarks.

2. USE OF THIS WEBSITE. 

A. The Website offers the ability to register an account with Friends4Cash and become a member of its Website.  By becoming a member of the Friends4Cash Website and community, subject to the restrictions and limitations set forth in this Agreement, you will be entitled to share in the winnings from any lottery ticket or other game of chance in which Friends4Cash participates, provided that (1) you are a registered member of the Website prior to the winning lottery ticket being drawn (or otherwise prior to Friends4Cash being entitled to collect any winnings from any other game of chance) and (2) you log into the Website and claim your portion of such winnings no later than 1 week from the date and hour on which the numbers of the winning lottery ticket are published within the Website (or 1 week from the date and hour on which Friends4Cash publishes within the Website an official notice that Friends4Cash is entitled to collect any winnings from any other game of chance).  As used herein, the phrase “registered member,” and similar terms, means that you have submitted sufficient information to Friends4Cash to become a member of the Website, Friends4Cash has accepted your application to become a member of the Website, and you have agreed upon the terms and conditions herein. 

B. Notwithstanding Section 2A above or any other term or provision herein, you hereby agree and acknowledge that only “jackpot” lottery winnings will be distributed to members of the Website, whereas no portion of “non-jackpot” lottery winnings will be distributed to Website members.  You further agree and acknowledge that all “non-jackpot” lottery winnings will be distributed to charitable organizations, as described further below.  The terms “jackpot” and “non-jackpot” lottery winnings shall be accorded their ordinary meanings as used in the lottery industry.

C. The winnings from a successful “jackpot” lottery ticket, or any other successful game of chance, shall be distributed to members of the Website on a pro rata bases.  For the purpose of illustration, if Friends4Cash purchases a winning “jackpot” lottery ticket that entitles Friends4Cash to 1 million dollars, and, at the time the lottery ticket is drawn, there are 99 registered members of the Website (all who fully comply with the procedures set forth in Section 2A above to claim their portion of the winnings) plus Friends4Cash (which itself shall be considered a member of the Website), then each member (including Friends4Cash) shall receive $10,000 (or 1/100 of the 1 million dollar winnings).  Notwithstanding the foregoing, Friends4Cash reserves the right to modify the means by which such payments shall be made to members, provided that Friends4Cash provides notice thereof to the Website members, which notice may be through electronic mail.  In addition, if Friends4Cash is legally obligated to pay any local, state, federal, or foreign taxes or fees of any kind in connection with its receipt of any such winnings from a lottery ticket (or another game of chance), Friends4Cash shall deduct all such amounts from the winnings and pay such taxes and fees owed, prior to calculating and dispersing each member’s portion of such winnings.

D. You hereby agree and acknowledge that your participation in the Friends4Cash Website, and becoming a registered member thereof, does not represent any sort of gamble, a game of chance, or any other method that is governed by any local, state, or federal gaming laws of any kind.  You are entitled to become a member of the Website without any monetary cost to you, provided that you submit to Friends4Cash the information that it requests and agree to the terms hereof.  Accordingly, becoming a member of this Website does not cost anything and does not expose you to any sort of financial loss.  Any monetary amounts that you receive from Friends4Cash shall be considered a gift, and not the winnings from a game of chance in which you directly participate.

E. In the event that you receive any monetary gain as a result of becoming a member of the Website, such as by receiving a portion of any lottery winning that is distributed by Friends4Cash, you hereby agree that Friends4Cash shall not be responsible for reporting such gain as your income to the U.S. Internal Revenue Service or any other U.S. or foreign governmental agency, nor shall Friends4Cash be responsible for withdrawing any taxes or other amounts from your portion of any such winnings.  You shall be solely responsible for paying all taxes on any monies received from Friends4Cash.

F. You hereby agree and acknowledge that you have no expectation whatsoever of Friends4Cash being entitled to collect, and distribute to you, any winnings from any lottery ticket or other game of chance.  You further agree and acknowledge that the probability of Friends4Cash being entitled to collect any winnings from any lottery ticket or other game of chance is extremely small.  You agree and acknowledge that you shall not place any reliance on the possibility of receiving any distributions from any lottery ticket or other game of chance in which Friends4Cash participates.

G. The Website may offer the ability for you to designate certain portions of winnings from a successful lottery ticket or other games of chance in which Friends4Cash participates to one or more charities.  Although Friends4Cash may employ a democratic means for receiving votes and recommendations for specific charities to receive such winnings, you agree and acknowledge that the specific charity, if any, which shall receive any portion of any winnings from a successful lottery ticket or other game of chance shall be subject to Friends4Cash’s sole and exclusive discretion.

H. The Website may offer the ability for you to donate money to Friends4Cash, which money may be used towards the purchase of lottery tickets or for the participation in other games of chance.  You hereby agree and represent that any such money that you donate shall be considered a gift to the members of the Website, and is not intended to be income or a gift to Friends4Cash.  You further agree and acknowledge that while providing Friends4Cash with additional money to purchase additional lottery tickets or to increase participation in other games of chance may increase the likelihood of Friends4Cash purchasing a winning lottery ticket or otherwise being entitled to collect money from a winning game of chance, it will increase such likelihood by an extremely small and statistically insignificant amount.

I. The Website may offer the ability for you to designate or vote for numbers that Friends4Cash may in turn designate in lottery tickets that it purchases.  Although Friends4Cash may employ a democratic means for receiving votes and recommendations for specific lottery numbers, you agree and acknowledge that the specific lottery numbers, if any, which Friends4Cash selects shall be subject to Friends4Cash’s sole and exclusive discretion.  In addition, you agree and acknowledge that the specific type of lottery ticket purchased (or other game of chance in which Friends4Cash participates) shall be subject to Friends4Cash’s sole and exclusive discretion.

J. The Website provides members with certain functionality and website services, including, for example, social networking management services, the provision of HTML code and other website scripts and coding language, newsletters, and other benefits.  For the avoidance of doubt, you hereby agree that any of these services, or others, offered within the Website may be removed and terminated at anytime by Friends4Cash without any prior notice.

K. Any unauthorized use of any content or material contained on this Website may violate copyright laws, trademark laws, patent laws, the laws of privacy and publicity, and communications regulations and statutes.  Any unauthorized use of such content or material on this Website, including its reproduction, modification, distribution, or republication, without prior written permission of Friends4Cash, or other third party if applicable, is strictly prohibited.  The use of such content or material on any other website or in any environment of networked computers is strictly prohibited.

L. This Website may be used only for lawful purposes.  Transmission of any material in violation of any local, state, federal or export control law or regulation is prohibited.  This includes, without limitation, material protected by copyright, patent, trademark, trade secret or other intellectual property right used without proper authorization.

M. Friends4Cash does not accept responsibility for the content, materials and information published by others in this Website, including by any of Friends4Cash’s third party advertisers, charities, members, customers, affiliates, providers and distributors, which is accessible through the Website and does not accept responsibility for the violation of any laws resulting from such publication or distribution. 

N. If any user of this Website interferes with others’ use and enjoyment of the services provided by Friends4Cash, such user shall be deemed to be in violation of this Agreement.  Violations of system or network security are prohibited, and may result in criminal and civil liability.  Friends4Cash will investigate incidents involving such violations and may involve and will cooperate with law enforcement if a criminal violation is suspected.  Examples of system or network security violations include, without limitation, the following:

O. Unless otherwise expressly authorized by Friends4Cash, using this Website and/or the information contain therein to send unsolicited, commercial mass e-mail messages, including, without limitation, commercial advertising and informational announcements, is explicitly prohibited.

Although Friends4Cash does not review or censor materials and information which is accessible on the Website or other websites which may be accessed from the Website, if Friends4Cash  becomes aware that a user of this Website is in violation of this Agreement, Friends4Cash  reserves the right to suspend or terminate such user’s access to this Website without notice.

3. AGE AND RESPONSIBILITY.  You represent and warrant that you are of sufficient legal age to use this Website and to create binding legal obligations for any liability you may incur as a result of the use of this Website.  You understand that you are financially responsible for all uses of this Website by you and those using this Website on your behalf.

9. SYSTEM AVAILABILITY.  Friends4Cash makes every effort to maintain 100% system availability, except during scheduled maintenance periods.  Should we experience technical difficulties, Friends4Cash is not responsible for orders that are not processed or accepted.

10. VIOLATIONS OF THIS AGREEMENT.  In the event you violate or attempt to violate any part of this Agreement, Friends4Cash reserves the right to terminate your access to this Website immediately, in its sole discretion, with or without notice of any kind.  Friends4Cash also reserves the right to involve and cooperate with law enforcement agencies, and to pursue a civil lawsuit or criminal prosecution for any and all alleged or actual illegal activities involving this Website. 

11. INDEMNIFICATION.  You agree to indemnify, defend, and hold harmless Friends4Cash and its parents, subsidiaries, affiliates, officers, directors, employees, representatives and its third party merchants and customers from and against any and all claims, proceedings, damages, injuries, losses, costs, and expenses (including reasonable attorneys’ fees and expenses) arising from your use of this Website and/or breach of this Agreement, regardless of the nature of the cause of action or claim.

12. RESERVATION OF RIGHTS.  Any and all rights not expressly granted to you in this Agreement are hereby reserved by Friends4Cash.

13. GOVERNING LAW.  This Agreement and its performance shall be governed by the laws of the State of New Jersey, United States of America, without regard to its conflict of laws provisions.

14. ASSIGNMENT.  You may not assign, convey, subcontract or delegate your rights, duties or obligations hereunder.  Friends4Cash may assign this Agreement to any purchaser of all or substantially all of its assets or business to which this Agreement relates.

15.       MODIFICATION.  Friends4Cash may at any time amend and modify this Agreement and your continued use of this Website will be conditioned upon the terms and conditions in force at the time of your use.  You may not modify this Agreement.

16. ADDITIONAL TERMS.  Additional and/or different terms and conditions may apply to purchases of Friends4Cash’s and/or any third party merchant’s goods and services and other uses of portions of this Website.  If applicable, you agree to abide by such other terms and conditions.

17. SEVERABILITY.  These terms and conditions shall be deemed severable.  In the event that any provision is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions.

18. ENTIRE AGREEMENT.  This Agreement constitutes the entire agreement between you and Friends4Cash relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter.
